TERMS AND CONDITIONS OF SALE

1. GENERAL

Welcome to the Shofu Lab USA online store (the "Site"). This Site is owned and operated by Shofu Dental Corporation, doing business as Shofu Lab USA ("Shofu Lab," "we," "us," or "our"). By accessing or using this Site, or by placing an order for products through this Site, you agree to be bound by these Terms and Conditions ("Terms").

2. BUSINESS INTEGRATION NOTICE

Effective January 1, 2026, Smart Dentistry Solutions Inc. (SDS) has merged into Shofu Dental Corporation (SDC). All operations, obligations, and supply of products previously managed by SDS have been assumed by SDC. "Shofu Lab USA" is a trade name used by SDC for its laboratory products division.

3. ORDERS AND ACCEPTANCE

Order Acceptance: Your receipt of an order confirmation does not signify our acceptance of your order. We reserve the right to accept or decline your order at any time for any reason.

Pricing & Typography: We strive for accuracy, but errors may occur. We reserve the right to correct any errors in pricing or descriptions and to cancel or refuse any order placed at an incorrect price, even after the order has been confirmed.

4. SHIPPING AND DELIVERY

Shipping: Shipping and handling charges are added to the invoice. Title and risk of loss pass to you upon delivery to the carrier (FOB Shipping Point).

Delivery Dates: Any delivery dates provided are estimates only. We are not liable for delays caused by carriers or events beyond our control.

5. RETURNS AND CANCELLATIONS

Standard Returns: Unopened and resellable consumable products may be returned within 90 days of purchase, subject to a restocking fee.

Equipment/Hardware: Returns of equipment (e.g., milling machines, printers, scanners) are subject to strict approval and may incur a significant restocking fee (e.g., [15-25%]). All equipment returns must be authorized in advance.

Non-Returnable Items: Opened consumables are generally non-returnable unless defective.

6. LIMITED WARRANTY

Consumables: All consumable products (e.g., zirconia discs, resins, burs, cements) are sold "AS IS" without warranty of any kind, express or implied, unless otherwise strictly required by applicable law.

Hardware & Equipment: Milling machines, scanners, sintering ovens, and 3D printers are covered solely by the Manufacturer’s Limited Warranty included with the product documentation. This warranty is in lieu of all other warranties.

DISCLAIMER: EXCEPT FOR THE WARRANTIES EXPRESSLY STATED ABOVE, SHOFU LAB USA DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SHOFU DENTAL CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DOWNTIME) ARISING OUT OF THE USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW

These Terms shall be governed by the laws of the State of California. Any legal action relating to these Terms shall be brought exclusively in the state or federal courts located in San Diego County, California.
